There really arent negetives, whey protein powder is just food. It may not be as high a quality of a protein source as chicken, fish, etc.. just because there are other nutrients you get in "real" food, but whey is still just food.
The only thing I can think of is if you are lactose intolerant you can have problems with whey as it is derived from milk. You would want to look for a whey protein isolate in this case, which will contain less lactose and can usually be tolerated by people with this problem.
